Standards for Information Disclosure

Kibun Foods Inc. (hereinafter, Kibun) discloses information in accordance with the Companies Act, the Financial Instruments and Exchange Act and other laws and regulations, as well as the rules regarding timely disclosure of company information provided in the Tokyo Stock Exchange's Securities Listing Regulations (Timely Disclosure Rules).
In addition, when information on decisions, events, and settlement of accounts that has a material impact on investment decisions arises, we disclose such information in accordance with the standards in the Timely Disclosure Rules. Even if information does not fall under information to be disclosed under various laws and regulations or the Timely Disclosure Rules, we strive to promptly, accurately and impartially disclose information that we judge to be important or useful for our shareholders and investors to understand Kibun.
When important undisclosed information is transmitted to some business partners, we perform necessary disclosure in accordance with laws and regulations.

Method of Information Disclosure

Information that should be disclosed under the Timely Disclosure Rules is disclosed through the Timely Disclosure Network (TDnet) provided by the Tokyo Stock Exchange, and is promptly posted on our website thereafter.
In addition, we widely disclose information that does not fall under information to be disclosed under the Timely Disclosure Rule by posting it on our website or through other means if we judge the information to be important or useful.

Prevention of Insider Trading

Kibun has established internal rules to properly manage information on important facts and prevent insider trading, and promote full awareness and understanding among our officers and employees.

Handling of Business Forecasts and Future Information

All business forecasts, future outlooks, strategies, and goals, etc. disclosed by Kibun other than statements of historical or current fact are forward looking statements based on information we have obtained at the time, and on plans, expectations, and judgments based on certain assumptions that are considered to be reasonable.
Therefore, actual business results may differ from disclosed business forecasts, etc. due to changes in uncertain elements such as economic conditions, market trends, and various systems, etc.

Quiet Period

From the viewpoint of preventing leaks of financial results and ensuring the fairness of information disclosure, Kibun has designated the period from the day following each quarterly financial closing date to the date of each quarterly financial results announcement as a "quiet period," and we refrain from answering any questions or commenting on financial results and our business outlook during this period.
However, if we expect our business forecasts to change significantly during this period, we disclose information as appropriate in accordance with the Timely Disclosure Rules.
